Terms of Service

The agreement between you and SocialCobalt when you use the service.

Last updated:

Summary

  • You own your content. We use it only to run the service and publish it where you tell us to.
  • You follow the rules of each network you publish to, and you publish only to accounts you are allowed to manage.
  • Plans are billed monthly. When you cancel, your plan stays active until the end of the paid month.
  • We do our best to publish on time, but we depend on the networks and cannot promise that every post goes out or how it performs.

This summary helps you read the terms. The full text below is what applies.

The agreement

These Terms of Service are an agreement between you and SocialCobalt ("we", "us") for the use of the website socialcobalt.com, the app at app.socialcobalt.com, the public API and related services (together, "the service"). By creating an account or using the service, you accept these terms and our Privacy Policy.

You must be at least 18 years old. If you use the service for a company or another person, you confirm you have the authority to accept these terms for them.

The service

SocialCobalt lets you schedule videos and posts and publishes them to the social media accounts you connect, at the times you choose. It also shows a calendar, previews, comments and statistics that the networks make available.

A network can be used only after it approves SocialCobalt and only while that approval lasts. Networks can change or limit their features at any time, and we may have to change ours in response. We do not promise views, followers, reach or any other result.

Your account

  • Give us accurate information and keep your email address up to date.
  • Keep your password and API keys secret. You are responsible for what happens under your account unless it is our fault.
  • Tell us right away at [email protected] if you think someone else is using your account.
  • On the Studio plan you can invite team members. You are responsible for what they do in your workspace and for removing them when they no longer need access.

Plans and billing

  • Plans, prices and limits are listed on the pricing page. Prices are in US dollars and do not include taxes that may apply where you live.
  • Plans are billed monthly in advance through our payment processor, Stripe, and renew automatically until you cancel.
  • You can cancel at any time in Settings. Your plan stays active until the end of the period you already paid for, and is not renewed after that.
  • When you move to a bigger plan, you pay the difference right away. When you move to a smaller plan, channels above the new limit are disabled, not deleted, and you can choose which ones to keep active.
  • If a payment fails, we will tell you. If it is not resolved, we may pause scheduled posts until it is.
  • We may change prices with at least 30 days' notice by email. The new price applies from your next billing period after that, and you can cancel before it does.
  • Refunds. If you are a consumer in Brazil, you may cancel within 7 days of your first payment and get a full refund, as provided by article 49 of the Brazilian Consumer Defense Code. Other payments are not refundable, except where the law requires it.

Your content

You keep all rights to the videos, images, text and other material you upload or schedule ("your content").

You give us a limited, worldwide, non-exclusive license to store, copy, process, resize, display and transmit your content only to run the service: to show it to you and the people you share it with, and to publish it to the accounts and at the times you choose. This license ends when your content is deleted, except for copies that the networks already published.

You confirm that you have the rights needed to publish your content, including music, footage and images in it, and that it does not break the law or anyone else's rights. We do not review content before it is published, but we may remove content or stop a post if we receive a valid legal notice or see a clear breach of these terms.

Networks' rules

When you connect an account, you also have to follow that network's terms and policies, which apply to everything you publish there. These include:

You may connect only accounts that you own or are authorized to manage. SocialCobalt is not affiliated with or endorsed by these networks.

Acceptable use

Do not use the service to:

  • publish anything illegal, or content that infringes copyright, trademarks or privacy;
  • send spam, run fake engagement, or post repeated or misleading content to manipulate a network;
  • impersonate another person or brand, or publish to accounts you are not allowed to manage;
  • publish content that sexually exploits minors, promotes violence or harasses people;
  • upload malware, or try to break into, overload or disrupt the service or the networks;
  • get around plan limits, share an account between unrelated people, or resell the service without our written permission;
  • copy or scrape the service in ways the API does not allow.

If you break these rules, we may remove the content, pause posts, or suspend or close the account, as described below.

API and webhooks

Your API key gives full access to your workspace. Keep it secret and create a new one in Settings if it leaks. We may apply rate limits to protect the service. Webhooks send data about your posts to the addresses you set up, and you are responsible for those addresses and what happens to the data there.

Software and licenses

Parts of the SocialCobalt software are licensed under the GNU Affero General Public License, version 3. The corresponding source code and all licenses are listed on the source code and licenses page. Nothing in these terms limits the rights that those licenses give you.

The SocialCobalt name, logo and website design are ours. These terms do not give you any right to use them, except to refer to the service.

Availability

We work to keep the service running and to publish every post at its time. Posts can still be delayed or fail because of a network outage, a change in a network's rules, an expired connection, a file the network rejects, maintenance or events outside our control. When a post fails, we notify you so you can try again. We may change, add or remove features. If we remove a feature that is central to a paid plan, we will tell you in advance.

Ending the agreement

You can stop using the service and delete your account at any time in Settings. What happens to your data is described in the Privacy Policy.

We may suspend or close your account if you seriously or repeatedly break these terms, if the law requires it, or if your use puts the service, other users or the networks at risk. Unless the situation is urgent or illegal, we will tell you first and give you a chance to fix it. If we close your account without a breach on your part, we will refund the unused part of the period you paid for.

Warranties and liability

The service is provided as it is and as available. To the extent the law allows, we do not give warranties that it will be uninterrupted or free of errors.

To the extent the law allows, we are not liable for indirect losses, such as lost profits, lost revenue from a sponsorship, or loss of audience, and our total liability for any claim is limited to the amount you paid us in the 12 months before the claim.

Nothing in these terms limits rights you have as a consumer that cannot be waived under the law of your country, including the Brazilian Consumer Defense Code, or our liability for fraud or gross negligence.

Changes

We may update these terms. If a change matters, we will email you at least 30 days before it takes effect and update the date at the top. If you do not agree, you can cancel before the change applies. Continuing to use the service after that means you accept the new terms.

Law and disputes

These terms are governed by the laws of Brazil. If you are a consumer, you can bring a claim in the courts where you live. Before going to court, please write to us so we can try to solve the problem.

If a part of these terms is found invalid, the rest still applies. If we offer a translation, the English version prevails unless the law requires otherwise.
